1. Introduction

These Terms and Conditions ("Terms") govern your use of the services provided by Makers Legacy. By engaging our services, you ("Client," "you," or "your") agree to comply with and be bound by these Terms.

2. Services Provided

We offer coaching services and backend software solutions, including CRM buildouts, integration, and support. The specific services to be provided will be outlined in a separate service agreement or proposal.

3. Client Obligations

You agree to:

○ Provide accurate and complete information as required for the provision of Services.

○ Ensure that you have the necessary rights to use any data or materials provided to us.

○ Cooperate with us in the performance of the Services and provide timely feedback.

4. Payment Terms

○ Fees: You agree to pay the fees as specified in the service agreement.

○ Payment Schedule: Payments are due according to the schedule outlined in the service agreement.

○ Late Payments: A late fee may be applied for any overdue payments.

5. Intellectual Property

All intellectual property rights related to our Services, including software, documentation, and materials, remain with Makers Legacy.

You may not reproduce, distribute, or create derivative works based on our intellectual property without prior written consent.

6. Confidentiality

Both parties agree to keep confidential any proprietary or confidential information shared during the course of the engagement. This obligation will survive the termination of these Terms.

7. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the Services, even if we have been advised of the possibility of such damages. Our liability for any direct damages shall be limited to the fees paid for the Services.

8. Termination

Termination for Convenience: Either party may terminate the engagement with written notice of 30 Days.

Termination for Cause: Either party may terminate the agreement for a material breach that remains uncured after 60 days.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ontario Canada, without regard to its conflict of law principles.

10. Changes to Terms

We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting on our website or notifying you directly. Your continued use of our Services after any changes constitutes your acceptance of the revised Terms.
